THESE TERMS OF SERVICE (THE “AGREEMENT”) GOVERN ACCESS TO AND USE OF SEEDCORE’S PRODUCTS, SERVICES, MATERIALS, AND PLATFORMS. BY PURCHASING, ACCESSING, OR USING ANY SEEDCORE PRODUCT OR SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT.

If you are accepting this Agreement on behalf of a company or other legal entity (“Customer”), you represent that you have authority to bind such entity. If you do not have such authority, you may not accept this Agreement or use the Services.

1. Definitions
   “Seedcore” refers to Seedcore and its operators.
   “Service” means Seedcore’s advisory products, analysis, written deliverables, research, frameworks, and access to Seedcore Blue.
   “Deliverables” means any written materials, analyses, recommendations, or outputs provided by Seedcore.
   “Customer Content” means any information, materials, data, or inputs provided by Customer.
   “Order” means any checkout, purchase, or product description specifying scope, duration, and price.

2. The Service
   2.1 Description
   Seedcore provides advisory, analytical, and educational services for ideas, projects, and early-stage ventures. The Service is advisory only. Seedcore does not execute, operate, manage, or act on behalf of Customer.

2.2 Delivery
Deliverables are provided digitally, primarily through Seedcore Blue. Delivery is deemed complete when Deliverables are made available to Customer, regardless of whether Customer reviews or acts on them.

2.3 Client Responsibility
Customer is solely responsible for decisions, actions, and outcomes resulting from use of the Service. Seedcore does not make decisions for Customer.

3. Acceptance and Access
   This Agreement is accepted upon completion of checkout, payment, account creation, or access to Seedcore Blue. Access is limited, revocable, non-exclusive, and non-transferable.

4. Payments and Refunds
   4.1 Fees
   All fees are due in full prior to delivery unless otherwise stated. Fees are non-refundable.

4.2 No Refunds
Because Seedcore provides customized analysis and digital deliverables, all sales are final once work begins or access is granted.

4.3 Chargebacks
Unauthorized chargebacks constitute a breach of this Agreement.

5. Customer Content
   Customer represents that all information provided is accurate and complete. Seedcore relies on Customer Content as provided and is not responsible for errors resulting from inaccurate, incomplete, or misleading inputs.
   
   

6. Intellectual Property
   All Seedcore methodologies, frameworks, language, systems, and Deliverables remain the intellectual property of Seedcore. Customer may use Deliverables internally but may not redistribute, resell, publish, or reuse them commercially without written permission.
   
   

7. Confidentiality
   Seedcore will not intentionally disclose Customer Content. Customer acknowledges that Seedcore may advise other clients in similar or identical markets. No exclusivity is implied.
   
   

8. Suspension and Termination
   Seedcore may suspend or terminate access without refund for misuse, abuse, nonpayment, or breach of this Agreement.
   
   

9. Disclaimer of Warranties
   THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” SEEDCORE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE.
   
   

10. Limitation of Liability
    Seedcore’s total liability shall not exceed the fees paid by Customer for the specific Service giving rise to the claim. Seedcore shall not be liable for indirect, consequential, or incidental damages.
    
    

11. Indemnification
    Customer agrees to indemnify and hold harmless Seedcore from any claims arising from Customer’s use of the Service or violation of this Agreement.
    
    

12. Governing Law
    This Agreement is governed by the laws of the State of Arizona.
    
    

13. Entire Agreement
    This Agreement constitutes the entire agreement between the parties.
